A Private Limited Company is the most popular structure for startups and growing businesses in India. It offers limited liability, easier access to funding, and a professional image — but the registration process involves several steps with MCA and ROC.

Step-by-Step Registration Process

  • Obtain Digital Signature Certificates (DSC) for directors
  • Apply for Director Identification Number (DIN)
  • Reserve company name via RUN or SPICe+ Part A
  • File SPICe+ form with MOA, AOA, and address proof
  • Receive Certificate of Incorporation and PAN/TAN

Post-Incorporation Compliance

After incorporation, you must open a bank account, allot shares, file INC-20A (commencement of business), and maintain statutory registers. Annual ROC filings, board meetings, and audited financial statements are mandatory from the first year.
